Jais – Inception – Terms of Use

These Terms of Use (the “Terms“) apply to your use of Jais (“Services”). These Terms form an agreement between you and Inception Institute of Artificial Intelligence, a company established in the Emirate of Abu Dhabi, United Arab Emirates (“Inception”, “we”, “our” or “us”). In using our Services, you agree to be bound by these Terms. If you agree to be bound by these Terms by using our Services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that company or other legal entity to these Terms and, in such event, “you” and “your” will refer and apply to that company or other legal entity.

1. Other Relevant Terms

1.1 This license is, in part, based on the Apache License Version 2.0 available online at https://www.apache.org/licenses/LICENSE-2.0.html, with a series of modifications. The contribution of the Apache License 2.0 to the framing of this document is acknowledged. Please read this license carefully, as it is different to other ‘open access’ licenses you may have encountered previously.

1.2 If and to the extent there is any discrepancy or conflict between the terms of the Apache 2.0 License and any clause in this document, the clauses in this document shall prevail.

2. About Us

2.1 Inception is part of the G42 group of companies, which provide artificial intelligence, cloud and cybersecurity services. 3. Age Requirement

3.1 Minimum Age. You must be the minimum age required in your country to consent to use the Services. You must have your parent’s or legal guardian’s permission to use the Services if you are under 18 years of age.

4. Content

4.1 Input and Output to and from the Services. You may provide prompts, content, materials or instructions or any other written content to the Services (“Input”) and receive content and materials from the Services following such Input (“Output”). Input and Output together are “Content.” You are responsible for Content, including ensuring that it, and your use of it, complies with any applicable laws and these Terms. You represent and warrant that you have all the necessary licenses, permissions and rights needed to provide Input to our Services.

4.2 Content Ownership. As between you and us and to the extent permitted by applicable law, you retain your ownership rights in the Input and own the Output. We hereby assign to you all right, title, and interest, if any, in and to the Input and Output.

4.3 Content Similarity. Other users may receive similar Output from their use of our Services as a result of the operation of our Services and the inherent nature of artificial intelligence technologies. The Ownership of Content provision at 3.2 above does not extend to other users’ Output or any third party Output.

4.4 Our Use of Content. We may use Content to maintain, develop, provide, monitor and improve our Services.

5. Use of Services

5.1 Permitted Uses. You may access and use our Services in accordance with these Terms. You must comply with all applicable laws and any other documentation, guidelines, or policies, in using our Services.

5.2 Forbidden Uses. You may not use our Services in any manner that violates applicable laws or regulations, including using the Services in a way that infringes, misappropriates or violates anyone’s rights. This includes, but is not limited to, the below examples:

5.2.1 Malicious Use: The Services should not be used for generating harmful, misleading, or inappropriate Content. This includes but is not limited to:

a) Generating or promoting hate speech, violence, or discrimination.
b) Exploitation or harm to children, including the solicitation, creation, acquisition, or dissemination of child exploitative Content.
c) The illegal distribution of information or materials to minors, including obscene materials, or failure to employ legally required age-gating in connection with such information or materials.
d) Spreading misinformation or fake news.
e) Engaging in or promoting illegal activities.

5.2.2 Sensitive Information: The Services should not be used to handle or generate personal, confidential, or sensitive information.

5.2.3 High-Stakes Decisions: The Services should not be used to make high-stakes decisions without human oversight. This includes medical, legal, financial, or safety-critical decisions.

5.2.4 Deceptive Use: The Services should not be used in an attempt to deceive others or to enable dishonest behaviours, which includes, but is not limited to, using the Services to generate or facilitate the generation of ID cards, social security or national insurance numbers, credit cards, bank accounts, or driver’s licenses.

5.2.5 [Modifying, copying, leasing or selling any of our Services.]

Attempting to or assisting anyone to reverse engineer, decompile or discover the source code or underlying components of our Services, including our Services, algorithms, or systems (except to the extent this restriction is prohibited by applicable law).

5.2.6 Automatically or programmatically extracting data or Output, where such extraction is directed towards training data used to maintain, develop, provide, monitor and improve our Services.

5.2.7 Representing that Output was human-generated when it was not.

5.2.8 Interfering with or disrupting our Services, including circumventing any restrictions or bypassing any protective measures or safety mitigations we put on our Services.

5.2.9 Using Output to develop models that compete with Jais.

5.2.10 ‘In the Style of’ prompts: You shall not use prompts in connection with the Input which requests or otherwise directs the creation of Output which is intended to emulate, copy or otherwise replicate the intellectual property rights, personality rights or other proprietary characteristics of any author, artist, musician, producer, broadcaster, or publisher without consent.

6 Bias, Risks and Limitations

6.1 Jais is trained on publicly available data. While efforts have been made to minimize biases, it is likely that Jais, as with all LLM models, will exhibit some bias.

6.2 Jais is trained as an AI assistant for Arabic and English speakers. The model is limited to produce responses for queries in these two languages and may not produce appropriate responses to other language queries.

6.3 By using Jais, you acknowledge and accept that, as with any large language model, incorrect, misleading and/or offensive information or Content may be generated. The Content is not intended as advice and should not be relied upon in any way, nor are we responsible for any of the Content or consequences resulting from its use.

6.4 In using the Services, you agree and understand that:

6.4.1 Output may not always be accurate. You should not use Output from our Services as a source of fact or the truth, or in replacement of professional advice.

6.4.2 Before using or providing Output, you must evaluate that Output for accuracy and appropriateness for your requirements, including undertaking human review in the appropriate circumstances.

6.4.3 You must not use any Output to make material decisions about people, including making financial, housing, educational, employment, legal, medical, or other important decisions about them.

6.4.4 Output does not represent Inception or its affiliate’s views. Any reference to a third party in Output does not mean that the third party endorses, is associated with, or is affiliated with Inception.

7 Our Intellectual Property rights

7.1 Inception hereby grants you a licence to use the trade mark “Jais” solely as required for reasonable and customary use in describing Jais and/or Jais Chat. All goodwill resulting from your use of Jais and/or Jais Chat will inure to the benefit of Inception.

7.2 Inception hereby grants you a licence to use the Services solely in accordance with the Terms. Inception and/or its partners or licensors own all intellectual property rights in the source code and underlying components of our Services, including but not limited to our Services, algorithms and systems.

8. Disclaimers of Warranties

8.1 THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. EXCEPT TO THE EXTENT PROHIBITED BY LAW, WE MAKE NO WARRANTIES (EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE) WITH RESPECT TO THE SERVICES  OR THE OUTPUT PRODUCED BY JAIS AND DISCLAIM ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, QUIETNESS OF ENJOYMENT AND SATISFACTORY QUALITY.

8.2 INCEPTION DOES NOT REPRESENT OR WARRANT THAT THE FUNCTIONS CONTAINED IN THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT THE DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVER THAT MAKES THE SERVICES AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. INCEPTION DOES NOT MAKE ANY WARRANTIES OR REPRESENTATIONS REGARDING THE USE OF THE MATERIALS IN THE SERVICES IN TERMS OF THEIR CORRECTNESS, ACCURACY, ADEQUACY, USEFULNESS, TIMELINESS, RELIABILITY OR OTHERWISE.

8.3 You understand that we are not responsible for any activities or legal consequences of your use of the Services. Users are responsible for using the Services in compliance with these Terms and all applicable laws and regulations of the jurisdictions in which such users are domiciled, reside, or are located at the time of such access or use.  Any violation of these Terms may result in the suspension or termination by us, in our sole discretion, of your access to and use of the Services.

9 User Generated Content is not Approved

9.1 The Services may include information and materials uploaded by other users of the Services. This information and these materials have not been verified or approved by us. Further, Jais is intended to automatically generate Output with no intervention from Inception in that process. Any and all Output have not been verified or approved by us.

10 Suspension or Withdrawal of Jais

10.1 The Services are made available free of charge.

10.2 We may suspend or withdraw or restrict the availability of all or any part of the Services for business and operational reasons.

10.3 We reserve the right in our sole discretion to modify or discontinue the Services (or any part thereof), temporarily or permanently with or without notice. You agree that we will not be liable to you or to any third party for any modification or discontinuance of the Services, except as outlined in the “Limitation of Liability” clause below.

11. Limitation of Liability

11.1 YOUR USE OF THE SERVICES IS AT YOUR OWN RISK. NEITHER INCEPTION, NOR ANY OF ITS SUBSIDIARIES, AFFILIATES, OFFICERS OR DIRECTORS, NOR ANY OF ITS AGENTS OR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SERVICES, ARE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR OTHER DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE SERVICES WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF ANY SUCH DAMAGES.

11.2 In the case that your country of residence does not allow the disclaimer of certain warranties or the limitation of certain damages, these Terms only limit our liabilities to the maximum extent permissible in your country of residence.

12 Indemnity

12.1 If you are an organisation or a business, you agree to indemnify, defend and hold harmless Inception, its subsidiaries and affiliates, its officers, directors, employees, licensors and suppliers from and against all losses, expenses, damages and costs, including reasonable attorney’s fees, resulting from any violation of these Terms or any of your activity related to the Services or the Content (including negligent or wrongful conduct) by you or any other person accessing the Services on your behalf.

13 Term and Termination

The term of these Terms will commence upon your access to the Services and will continue in full force and effect until terminated in accordance with these Terms.

14 Complaints procedure

14.1 If you believe that any Content or any aspect of the Services are harmful, unlawful, or otherwise violate the rights of others, please contact us at jais@inceptionai.ai.

15 Assignment

15.1 You may not assign or transfer these Terms, by operation of law or otherwise, without Inception’s prior written consent. Any attempt by you to assign or transfer these Terms of Use, without such consent, will be null and of no effect. Inception may assign or transfer these Terms, at its sole discretion, without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.

16 Changes to these Terms or our Services

16.1 Inception reserves the right, at its sole discretion to modify these Terms, at any time and without prior notice. If we modify these Terms, we will post the modification on the Jais Hugging Face page. We will also update the “Last Updated Date”. By continuing to access or use the Services after we have posted a modification on the Jais Hugging Face page, you are indicating that you agree to be bound by the modified Terms. If the modified Terms are not acceptable to you, your only recourse is to cease using the Services.

17 Enforcing Terms

17.1 A delay in enforcing any of these Terms does not constitute a waiver of our right to enforce any of these Terms at a later date. If any portion of these Terms is deemed invalid or unenforceable, it will not affect the enforceability of any other terms.

18 Entire agreement

18.1 These Terms constitute the entire and exclusive understanding and agreement between Inception and you regarding the Services, Content and any other Jais related services provided for use or accessed by you through the Jais Hugging Face page. These Terms supersede and replace any and all prior oral or written understandings or agreements between Inception and you regarding the Services, Content and any other Jais related services provided for use or accessed by you through the Jais Hugging Face page.

19 Governing Law

19.1 These Terms and your use of the Services are governed by the laws of England. The courts of the Abu Dhabi Global Market, will have exclusive jurisdiction over any and all disputes arising out of, relating to or concerning these Terms and/or the Services or in which these Terms and/or the Services are a material fact.
